1. Marketplace Only; No Advisory Relationship.

Neither the Platform nor its owners, affiliates, members, managers, employees, representatives, agents, or related entities (“Company”) provides financial, investment, legal, tax, accounting, appraisal, construction, engineering, inspection, or other professional advice. Nothing contained on the Platform constitutes or should be relied upon as a recommendation, representation, guarantee, or advice regarding whether any property or transaction is suitable or profitable for any purchaser.

2. No Representation or Warranty Regarding Property Information.

All property information is provided for informational and marketing purposes only and may be obtained from sellers, owners, brokers, agents, public records, third-party data providers, contractors, comparable sales, estimates, observations, or other sources that Company has not independently verified. Company makes no representation or warranty, express or implied, as to the accuracy, completeness, reliability, or currentness of any information presented on the Platform.

This includes, without limitation, information regarding property condition, square footage, lot size, bedroom or bathroom count, occupancy, leases, rents, zoning, permitted or unpermitted improvements, code violations, liens, title matters, taxes, insurance, utilities, structural or environmental conditions, photographs, comparable sales, market rents, resale potential, or any other property characteristic.

3. ARV, Repair Costs and Financial Estimates Are Estimates Only.

Any after-repair value (“ARV”), estimated resale value, comparable sale, rental estimate, repair estimate, renovation budget, construction cost, projected profit, return, margin, or other financial calculation displayed or communicated by Company is an estimate or opinion only.

Actual values and costs may vary materially. Company does not guarantee that a property can be repaired for any stated amount, rented for any stated amount, financed on any particular terms, or resold for any stated or projected value.

4. Independent Due Diligence Required.

Each purchaser is solely responsible for conducting their own independent investigation and due diligence before entering into any transaction. Purchasers should independently verify all information they consider material and obtain whatever inspections, estimates, appraisals, title examinations, surveys, zoning verification, permit research, environmental investigations, professional advice, and other diligence they deem appropriate.

PURCHASERS SHOULD NOT RELY UPON THE PLATFORM OR COMPANY AS A SUBSTITUTE FOR THEIR OWN DUE DILIGENCE.

5. Investment Risk; No Guarantee of Profit.

Real estate investment involves substantial risk. Market conditions, construction costs, financing conditions, property values, rents, holding periods, governmental requirements, and numerous other factors may change without notice.

Company makes no representation or guarantee regarding profitability, investment performance, resale value, marketability, financing availability, construction costs, holding period, or the successful completion of any investment strategy.

Each purchaser independently determines whether a transaction is appropriate based upon the purchaser’s own analysis, assumptions, experience, financial condition, risk tolerance, and professional advice.

6. Property Condition; As-Is Transactions.

Unless expressly stated otherwise in a fully executed written purchase or assignment agreement, properties offered through the Platform should be considered investment properties offered in their present “AS IS, WHERE IS” condition, with all faults, whether known or unknown.

Photographs, videos, walkthroughs, descriptions, repair estimates, inspection information, or other materials provided through the Platform are not substitutes for a purchaser’s own physical inspection and investigation of the property.

7. Information May Change.

Property availability, pricing, condition, occupancy, repair estimates, ARVs, comparable sales, closing dates, access, and other information may change at any time without notice. Company has no obligation to continuously update information displayed on the Platform and makes no representation that information remains accurate after it is initially posted.

8. Purchaser’s Independent Decision.

By submitting an offer, executing an agreement, or otherwise proceeding with a transaction, purchaser represents and acknowledges that purchaser has conducted, or has voluntarily elected to waive, whatever independent investigation purchaser considers necessary and is making the purchase decision based upon purchaser’s own judgment, investigation, analysis, assumptions and professional advice, and not in reliance upon any statement, estimate, projection, representation, or information provided by Company except for any representation expressly contained in a fully executed written agreement.

9. Release and Hold Harmless.

To the fullest extent permitted by applicable law, purchaser agrees that Company shall not be liable for losses, damages, expenses, costs, claims, or liabilities arising from or relating to purchaser’s reliance upon information made available through the Platform, purchaser’s evaluation or acquisition of a property, inaccuracies or omissions in property information, differences between estimated and actual repair costs or property values, or the ultimate financial performance of any transaction.

Purchaser agrees to release, defend, indemnify, and hold harmless Company and its affiliates, members, managers, employees, representatives, agents, and related entities from claims arising from purchaser’s investment decisions or reliance upon Platform information, except to the extent liability cannot lawfully be waived or limited.

10. No Oral or Platform Representation Controls.

No statement made on the Platform or by telephone, text message, email, social media, marketing material, salesperson, representative, or other communication shall modify the terms of a transaction or constitute a representation or warranty unless expressly incorporated into a written agreement executed by the applicable parties.

11. Acceptance of Terms.

By creating an account, accessing property information, submitting an offer, requesting access to a property, or otherwise using the Platform, the user acknowledges that they have read, understood, and agreed to these terms and accepts responsibility for conducting their own due diligence and making their own independent investment decisions.
